UNIPETROL, a.s. (“Unipetrol”) informs that on 30 April 2015 the transaction of acquisition of 303,301 shares of ČESKÁ RAFINÉRSKÁ, a.s. (“Česká rafinérská”) amounting to 32.445% of the Česká rafinérská’s share capital from Eni International B.V. (“Eni”) with the acquisition price for the shares of EUR 24,085,906.93 was completed. Due to retained earnings pay-out by Česká rafinérská before transaction completion, the acquisition price paid on 30 April 2015 was adjusted down from originally announced EUR 30 million on 3 July 2014. Following successful completion of the transaction Unipetrol’s stake in the Česká rafinérská’s share capital has increased from 67.555% to 100.00%. Therefore Unipetrol has become the sole shareholder of Česká rafinérská.
