Changes in composition of company's supervisory board.

The Ordinary General Meeting of UNIPETROL, a.s. (the "Company") held on 26 June 2008 decided pursuant to item 12 of the agenda on recalling of the following persons from the position of member of the Company's Supervisory Board:

  • Mr. Czesław Adam Bugaj
  • Mr. Mirosław Stanisław Jasiński
  • Mr. Piotr Wlodzimierz Kownacki
  • Mr. Miloslav Suchánek

The Ordinary General Meeting of the Company further decided pursuant to item 12 of the agenda on election of the following persons into the position of member of the Company's Supervisory Board:

  • Mr. Wojciech Andrzej Heydel
  • Mr. Dariusz Jacek Krawiec
  • Mr. Sławomir Robert Jędrzejczyk
  • Mr. Marek Serafin
  • Mr. Piotr Kearney
  • Mr. Wojciech Wróblewski

provided, however, that the current composition of the Company's Supervisory Board is as follows:

DARIUSZ JACEK KRAWIEC, Vice-President of the ORLEN Group

Professional career
He joined PKN Orlen in March 2008 and occupies the post of Vice-President responsible for trading in crude oil within the Orlen Capital group

  • In 2002 - President of the Management Board of Elektrim
  • 1998 – 2002 – President of the Management Board and General Director of Impexmetal
  • 1997 – 2002 – Nomura International plc London – Investment Banking, responsible for the Polish market
  • 1993 – 1997 Price Waterhouse, working his way up to the post of Manager in Corporate Finance Department

SLAVOMIR ROBERT JEDRZEJCZYK, PKN Orlen, member of the Board of Directors, responsible for finance

Currently a member of the Board of Directors of PKN Orlen, responsible for finance

  • 2005 – 2008 – Telekomunikacja Polska Group – President of the Management Board, General Director
  • 2002 – 2003 – ORFE Group's Financial Director, Member of the Management Board of Cefarm Slaski (subsidiary of ORFE)
  • 1997 – 2002 – Impexmetal – member of the Management Board and Financial Director, Chairman and member of the Supervisory Board of its subsidiaries in Poland, Europe, Singapore and the USA
  • 1994 – 1997 – manager of the Audit and Business Advisory Department

  • Lodz University of Technology graduating in 1992. In 1997 he received in London the "British Certified Auditor"

MAREK SERAFIN, PKN Orlen, member of the Board of Directors

(Born in 1969 – 39 years of age)

Professional career
Currently member of the Board of Directors of PKN Orlen, responsible for petrochemical operations. Former president of the Management Group of the ArcelorMittal Group (Managing Director and member of the Management Board since 2002). Also a President of the Management Board of Huta Warszawa, at the same time President of the Management Board of Silscrap.

WOJCIECH WROBLEWSKI, PKN Orlen, Adviser for Strategy

(Born in 1957 – 51 years of age)

Professional career
Adviser for strategy at PKN Orlen since 2005. As an Energy Security Expert, he participated in the preparation of several government agreements and headed the team preparing the Government Security Enhanced Programme.

  • 2001 – 2005 – Ambassador of Poland to Estonia
  • 1998 – 2001 – adviser to the Minister of the Interior
  • 1996 - 1998 – adviser to the Commissioner of Police
  • 1996 – 1997 – Director of the Polish Institute in Vilnius
  • 1990 – 1992 – adviser to the Minister of the Interior

  • Faculty of Sociology, Jagiellonian University of Krakow.
