On 14 November 2007, UNIPETROL, a.s. (" Unipetrol"), as a purchaser, and CONOCOPHILLIPS CENTRAL AND EASTERN EUROPE HOLDINGS B.V., with its registered office at Schouwburgplein, 30-34 Rotterdam, the Netherlands, Company Id. No.: 24303174 (" Conoco"), as a seller, executed the Share Purchase Agreement (the " Share Purchase Agreement") on purchase by Unipetrol from Conoco of shares of ČESKÁ RAFINÉRSKÁ, a.s. with its registered office at Záluží 2, Litvínov, Postal Code: 436 70, IČ (Company Id. No.): 62741772 (" CRC"), representing the 0.225 % share in the registered capital of CRC.

Important Notice

Please note that the transfer of the shares of CRC from Conoco to Unipetrol is subject to satisfaction of certain conditions precedent agreed between Unipetrol and Conoco in the Share Purchase Agreement. It is expected that the closing of the transaction shall occur within one month from the signing of the Share Purchase Agreement.
