In connection with the pending process of implementation of new corporate governance model within a group of companies, in which UNIPETROL, a.s. is a controlling entity, relevant corporate bodies of UNIPRETROL, a.s. approved:

(i)  the conclusion of the agreements concerning:

• the transfer of 1 share of UNIPETROL DOPRAVA, a.s. owned by CHEMOPETROL, a.s. to UNIPETROL, a.s.,
• the transfer of the 1% ownership interest of CHEMOPETROL, a.s. in POLYMER INSTITUTE BRNO, spol. s r.o. to UNIPETROL, a.s.,
• the transfer of 1 share of PETROTRANS, a.s. owned by BENZINA a.s. to UNIPETROL, a.s., and

(ii) the increase in the registered capital of UNIRAF SLOVENSKO s.r.o. by a monetary contribution in the amount of SKK 30.000, which will be fully paid by Unipetrol.

The conclusion of the respective agreements was approved also by the relevant bodies of CHEMOPETROL, a.s., BENZINA a.s. and UNIPETROL RAFINÉRIE a.s. The respective agreements will be concluded under the terms customary in business relations and the purchase price was based on an expert opinion.

For the sake of completeness UNIPETROL, a.s. states that 99% of the ownership interest in POLYMER INSTITUTE BRNO, spol. s r.o., the remaining shares in PETROTRANS, a.s. and UNIPETROL DOPRAVA, a.s. and the remaining ownership interest in UNIRAF SLOVENSKO s.r.o. after the increase in the registered capital will not be, contrary to the earlier notified intention, transferred to UNIPETROL, a.s., but will remain in the ownership of:

• CHEMOPETROL, a.s., in case of shares of UNIPETROL DOPRAVA, a.s. and the ownership interest in POLYMER INSTITUTE BRNO spol. s r.o.;
• BENZINA a.s., in case of shares of PETROTRANS, a.s.; and
• UNIPETROL RAFINÉRIE a.s., in case of the remaining ownership interest in UNIRAF SLOVENSKO s.r.o. after the increase in the registered capital.

Important notice:

The execution of each of the agreements is expected to take place in February 2007.
The decision on the increase of the registered capital of UNIRAF SLOVENSKO s.r.o. is expected to be adopted in February 2007.
