In connection with the pending implementation of the new model of corporate governance  within the Unipetrol Group, on 22 December 2006, UNIPETROL, a.s. concluded with a Dutch company Tresacon B.V. two agreements on transfer of 100% ownership interest in:

• Steen Estates s.r.o., which will be used for purposes of the merger by acquisition of CHEMOPETROL, a.s., UNIPETROL RAFINÉRIE a.s. into this company and which will be, as a consequence of the merger, a legal successor of both these companies; and
• Meliba Estates s.r.o., into which, during the year 2007, will be transferred activities of the so-called Shared Service Centre established within UNIPETROL RAFINÉRIE a.s. as of 1 January 2007.

Steen Estates s.r.o. and Meliba Estates s.r.o., to date, neither have performed any business and other similar activities, nor traded or provided any services.
