The Supervisory Board and the Board of Directors of UNIPETROL, a.s. ("Unipetrol") approved the terms and conditions of the Share Purchase Agreement between Unipetrol as seller and FIRMA CHEMICZNA DWORY S.A., with its registered office at Chemików 1, 32-600 Oświęcim, Poland, KRS No. 38981 ("Dwory"), as purchaser, a subject matter of which is the purchase by Dwory of 100% shares in KAUČUK, a.s., with its registered office at Kralupy nad Vltavou, O. Wichterleho 810, district Mělník, Postal Code: 278 52, Company Id. No. (IČ): 250 53 272 ("Kaučuk") owned by Unipetrol.

The Board of Directors of Unipetrol further approved the terms and conditions of the Agreement on Cooperation in Connection with Construction and Operation of New Butadiene Unit between Unipetrol, Kaučuk, CHEMOPETROL, a.s., with its registered office at Litvínov, Litvínov - Záluží 1, district Most, Postal Code: 436 70, Company Id. No. (IČ): 250 03 887 ("Chemopetrol"), and Dwory, a subject matter of which is the agreement on the establishment of the joint-venture for the purpose of construction and operation of the new butadiene unit within the industrial area in Kralupy nad Vltavou.

The terms and conditions of the Cooperation Agreement in Connection with Construction and Operation of New Butadiene Unit were also approved by the relevant corporate bodies of Chemopetrol and Kaučuk. The terms and conditions of the above mentioned contractual documentation were also approved by the relevant corporate bodies of Dwory.

Important notice:

The execution of Share Purchase Agreement and Cooperation Agreement in Connection with Construction and Operation of New Butadiene Unit is expected to take place on January 30, 2007.
