Following the inside information and regulatory announcements regarding the squeeze-out of shares in PARAMO, a.s., with its registered office at Pardubice, Přerovská čp. 560, Post Code: 530 06, Id. No.: 481 73 355 (" Paramo") by UNIPETROL, a.s. („ Unipetrol"), as the majority shareholder within the meaning of Section 183(i) et seq. of the Czech Commercial Code Unipetrol hereby informs that in connection with the above squeeze-out some of the shareholders of Paramo filed a petition with the Regional Court in Hradec Králové for review of reasonableness of consideration within the meaning of Section 183k(1) of the Czech Commercial Code.

The value of consideration in the amount of CZK 977 (in words: nine hundred seventy seven Czech Crowns) per one (1) share of Paramo was determined on the basis of „ Zpráva o ocenění - Tržní hodnota obchodního jmění a 1 akcie společnosti PARAMO, a.s." (Valuation Report – Market Value of Business Assets and 1 Share of PARAMO, a.s.), containing substantiation of the value of consideration, prepared by American Appraisal s.r.o., registered with the Ministry of Justice of the Czech Republic as an expert institution in the area of economy. The Czech National Bank granted its prior approval with this substantiation of the value of consideration pursuant to Section 183(n)(1) of the Czech Commercial Code. On 6 January 2009, the above value of consideration was approved by the Extraordinary General Meeting of Paramo. With respect to the above facts, Unipetrol considers the petition for review of reasonableness of consideration unfounded.
